AeroScore T&C
1. Acceptance of Terms
​
1.1 Binding Agreement. By accessing or using any AeroScore website, application, form, API, or document download (collectively, “Platform”), you (“User”) acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions (“T&C”) and by our Privacy Policy, each as amended from time to time.
​
1.2 Updates. AeroScore HX LLC (“AeroScore,” “we,” “us”) may revise the T&C at any time with or without notice. The current version is always posted at aeroscore.com/terms and becomes effective immediately upon posting. Your continued use constitutes acceptance of all revisions.
​
1.3 No Waiver. The failure to enforce any right does not waive our right to enforce the same or different right in the future.
​
2. Description of Services & Products
​
2.1 AeroScore provides AI‑assisted aircraft document ingestion, maintenance‑quality scoring, valuation analytics, and report‑generation tools offered as (i) pay‑per‑report services, (ii) subscription tiers, and (iii) API or white‑label solutions (collectively, “Services”).
​
2.2 Not an Inspection or Appraisal. The Services analyze documentation only; they are not an on‑site inspection, appraisal, or legal certification, and must not be relied upon as such. Users remain responsible for independent due diligence.
​
2.2(a) This report is a document-only review generated algorithmically. It does not constitute an inspection, appraisal, or certification of airworthiness. Users remain solely responsible for their own due diligence.
​
3. Authorized Users & Eligibility
​
3.1 Authorized User means an individual or entity that (a) is at least 18 years old, (b) has successfully completed AeroScore’s vetting process, (c) has paid all applicable fees, and (d) remains in full compliance with these T&C.
​
3.2 We may deny or revoke access at any time, including to competitors (e.g., professional logbook‑scoring firms, valuation publishers, or prior AeroScore contractors).
​
4. Account Registration & Security
​
4.1 You must provide accurate, current, and complete information during registration and keep it up to date.
​
4.2 Single‑User Credential. Log‑in credentials are issued per natural person and may not be shared, transferred, or sublicensed.
​
4.3 You are responsible for all activity under your account. Notify us immediately of any unauthorized use. We may suspend or terminate accounts to protect the Platform, data, or other users.
​
5. Subscription, Payment & Renewal
​
5.1 No Refunds. All payments are non‑refundable except where required by law or explicitly stated otherwise herein.
​
5.2 Auto‑Renewal. Unless cancelled at least 24 hours before the end of the current term, subscriptions renew automatically at the then‑current price.
​
5.3 Fee Changes. We may change prices prospectively with 30 days’ notice by email or site banner.
​
6. Vetting & Compliance
​
6.1 We reserve the right to conduct background or affiliation checks to protect proprietary data, including but not limited to screening for affiliation with competitive data providers.
​
6.2 Submission of false or misleading information is grounds for immediate termination without refund and may trigger civil or criminal liability.
​
7. Data Misuse, Injunctive Relief & Liquidated Damages
​
7.1 Any scraping, bulk‑downloading, framing, reverse‑engineering, or incorporation of AeroScore data, algorithms, or reports into another database, model, or software product without our written consent is strictly prohibited.
​
7.2 Injunctive Relief. Because monetary damages may be inadequate, you agree that we may seek injunctive or equitable relief in any court of competent jurisdiction, without posting bond, in addition to all other remedies.
​
7.3 Liquidated Damages. Unauthorized commercial exploitation of our data obligates the offending party to pay $100,000 USD per incident or the actual damages proven, whichever is greater, plus attorneys’ fees and costs.
​
8. Prohibited Conduct
​
Users shall not:

Use the Platform for unlawful, defamatory, or infringing purposes;

Introduce malware, bots, or harmful code;

Attempt to gain unauthorized access to any systems or data;

Resell, sublicense, or white‑label the Services without agreement;

Represent AeroScore’s outputs as an FAA, EASA, or OEM certification.

9. User‑Provided Materials
​
9.1 License to Process. You retain ownership of uploaded logbooks, images, or data (“User Content”). You grant AeroScore a worldwide, non‑exclusive, royalty‑free license to store, evaluate, transform, and reproduce User Content solely to provide the Services and to improve our AI models in anonymized form.
​
9.2 You warrant that you have the right to supply the User Content and that it does not infringe third‑party rights. You agree to indemnify AeroScore from any claim arising from your User Content.
​
10. Intellectual Property
​
10.1 All code, models, scoring rubrics, report templates, logos, and trade names are our exclusive property, protected by U.S. and international IP laws.
​
10.2 Subject to these T&C, AeroScore grants you a limited, revocable, non‑transferable license to display and download your purchased reports for your internal, non‑commercial use. No other rights are granted.
​
11. Availability & Service Level
​
11.1 We aim for 99 % annual uptime but do not guarantee continuous availability. Downtime > 24 hours, if confirmed by us, extends active subscriptions by the same duration upon written request.
​
11.2 Force Majeure. We are not liable for performance failures caused by events outside our reasonable control (e.g., natural disasters, war, regulatory changes, AI‑model outages, supply‑chain interruptions).
​
12. Disclaimer of Warranties & Limitation of Liability
​
12.1 THE PLATFORM AND SERVICES ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON‑INFRINGEMENT.
12.2 TO THE MAXIMUM EXTENT PERMITTED BY LAW, AEROSCORE’S CUMULATIVE LIABILITY FOR ALL CLAIMS IN THE AGGREGATE SHALL NOT EXCEED THE GREATER OF (A) ONE THOUSAND U.S. DOLLARS ($1,000) OR (B) THE AMOUNT YOU PAID TO AEROSCORE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT SHALL WE BE LIABLE FOR LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR INDIRECT, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES.

13. Indemnification

You agree to defend, indemnify, and hold harmless AeroScore, its officers, directors, employees, and affiliates from and against any third‑party claims, damages, and expenses (including reasonable attorneys’ fees) arising from (a) your use of the Platform, (b) your breach of these T&C, or (c) your User Content.
​
14. Privacy & Data Protection
​
AeroScore processes personal data in accordance with its Privacy Policy, the EU General Data Protection Regulation (GDPR), the California Consumer Privacy Act (CCPA), and, where applicable, the EU AI Act. Requests to exercise data‑subject rights should be sent to admin@getaeroscore.com.
​
15. Suspension & Termination
​
We may suspend or terminate any account, report access, or subscription immediately and without refund if we believe, in our sole discretion, that a violation of these T&C or applicable law has occurred.
​
16. Governing Law & Dispute Resolution
​
16.1 These T&C are governed by the laws of the State of Florida, USA, without regard to conflict‑of‑law principles.
​
16.2 Mandatory Arbitration. Any dispute arising under these T&C shall be finally settled by binding arbitration administered by the American Arbitration Association under its Commercial Rules. The seat of arbitration shall be Tampa, Florida. Judgment on the award may be entered in any court of competent jurisdiction. You waive any right to a jury trial or to participate in a class action.

17. Severability, Assignment & Entire Agreement
​
If any provision is found unenforceable, it will be limited or eliminated to the minimum extent necessary, and the remainder will remain in full force. You may not assign your rights without our consent; we may assign our rights to an affiliate or successor. These T&C constitute the entire agreement between AeroScore and the User and supersede all prior agreements, written or oral.
